Hannover House - News for Week of August 9 - 13

 Greetings HHSE Friends & Followers - Listed below are some updates that impact the current filings status for the Company as well as items which are of interest to our shareholders.


1).  LEWIN FOREIGN DEFAULT APPEAL - Last Monday, HHSE counsel in New York filed the appeal to overturn the fraudulent default awarded to Bruce R. Lewin in 2018 (during the time that HHSE President Fred Shefte was hospitalized and unavailable to respond to court deadlines).  The New York appellate court filings are not on the standard e-file court system, so it took a week before last Monday's manual (paper) filing was finally posted to the docet.  The primary pages of the appeal are included in this blog today below (we have withheld the voluminous exhibits due to size). As stated previously, Hannover House had no contractual obligation or relationship with Bruce Lewin (nor did the two company officers listed in the default), and the case would have likely been declared in Hannover's favor had responses back in 2018 been made in a timely manner. Now, the company is appealing the default judgment in pursuit to overturn the default and allow the dispute to be adjudicated on the basis of facts and documents (and not on the absence of a response). The current focus is to overturn the judgment in New York, with the reserve of contesting the default in Arkansas. Updates will be provided as this appeal progresses.


2).  UPTONE and DAISY WINTERS DEFAULTS - The company has hired L.A. counsel to file motions to remove these two defaults, which were filed by Southern California attorney MARC LAZO. The motions in UPTONE will be filed first (possibly this week). The delay in filing is a procedural rule that asks that opposing counsel first attempt to mediate a resolution.


3).  JSJ TEXAS JUDGMENT - Hannover House finally obtained from Standard Registrar and Transfer Co., Inc. the detailed ledger of all stock shares issued to JSJ Investments including the explanation by Standard Registrar of the specification and rationale for each stock issuance tranche. This detail and declaration was the missing item required for Dallas attorney James Carroll to file the declaration and Motion for Satisfaction documents in Texas. This filing will also include a motion for sanctions against JSJ for filing a motion for default for a note that was demonstrably fully retired prior to the default filing.  This action will also support the rescission and expungement of the Arkansas Securities Letter of Oct. 2019, which incorrectly implied that JSJ was an Arkansas based investor and therefore eligible to register their dispute with the Arkansas State Securities Department. 


4).  LEGAL RESOURCES - The company has approved the acceptance of an unsecured loan from a non-affiliated private investor - proceeds of which are to assist with legal fees relating to implementing a dramatic and immediate acceleration of activities to oppose these old default judgments. As required under current OTC Disclosure Rules, the source and the amount of these legal fees will be included within the company's Q3 filings. The removal of the foreign default judgments against Hannover House will take away the key "fear factor" that stock short sellers have been using to fuel concerns - and to enable them to pursue imbalanced press and social media coverage on the company. Legitimate investors and respected media outlets are able to see past these last, few remaining puffs of smoke - to see the bright future for HHSE and MyFlix. 


5).  NEW BOARD MEMBERS - Two additional outside executive have accepted Parkinson's nomination to join the Hannover House Board of Directors, bringing the final count to five (5) directors. Due to the stature of these Director nominees, both have required that the company's obtain Director's and Officer's Liability Insurance - which will be active upon the publication of the company's Form 10 registration.


6).  Q2 FILINGS - Hannover House will be withholding the filings of the Q2 report until Thursday or Friday of this week as we await review comments that are expected to impact certain balance sheet items and disclosures. The company's liabilities have been reduced by almost $3-million in the past few months, which reductions require third-party verifications before inclusion within the balance sheet.

Hannover House Adds Martens to Advisory Board

Hannover House, Inc. (OTC: HHSE) has announced the addition of Kyle Martens to the company's advisory board as an initial step to potentially adding him to the company's Board of Directors.


Kyle Martens is an producer, actor, investor, and successful entrepreneur based out of Houston, TX. In addition to his extensive work in the sales and marketing of medical devices, he has also worked as an executive producer and actor in the family-appeal feature film "Wildfire." Graduating high school from Spearfish, SD, he went on to play collegiate football at Rice University where he was selected as a 1st and 2nd team All-American and invited to the NFL combine. He performed camps with the Chargers, Dolphins, and Redskins before hanging up the towel on the NFL. Kyle has terrific interpersonal skills and business acumen that make him a solid addition to the Hannover House advisory board.  


Martens will join with Christian Large as an advisor to Hannover House with the plan of being added to the Board of Directors after the filing of the company's Form 10 Registration.  Hannover House has also obtained commitments from two additional board candidates - including a Major Studio executive and a manager of one of the top streaming services - both of whom will be announced following the publication of the Form 10-12(g) Registration with the Securities and Exchange Commission.


Hannover House is an entertainment and media company operating continuously since 1993. The company has successfully released over 450 titles in its history, including top-selling books, theatrical movies and home video programs. In response to the media delivery trend, Hannover House is now focused on the formation and launch of a multi-studio streaming venture known as MyFlix.

HHSE / MyFlix Activities - plus Attorneys pursuing Parallel Paths in matter of Foreign Default (Lewin / NY)

Greetings HHSE Friends & Followers - as tidbits of news continue to leak out from the successful CANNES Market, we find continued enthusiasm for the company's stock and activities.  Very exciting progress has transpired for MyFlix as well as for the creation / acquisition of locomotive titles and new supplier partners. The entertainment industry has already recognized the value of the MyFlix multi-studio streaming model... and the market is beginning to respond.


Meanwhile - with respect to the company's Form 10 Registration, S1 Offering and ongoing activities to resolve prior legal matters, these are also moving ahead at warp-speed.


The company was surprised and disappointed that the New York Judge hearing our motion to re-open the Lewin case did not concur. However, the opinion (filed this Tuesday) does provide for several paths for our New York team to file an appeal. Despite rumors on stock chat boards, there is no "three-day rule" to file the appeal, and the HHSE points-and-authorities are complex and require more time for drafting of the appeal. 


Last Friday, we were informed that the NY attorneys would be promptly filing the appeal.  While they are, indeed, responding promptly, it was not correct to predict that this appeal would be filed on Monday (as was reported in a prior blog). The point of the appeal is to WIN - and this is best achieved through proper case precedents and research - and not through a fast, but anemic objection. So, while HHSE management prefers that the appeal be filed promptly, we also must defer to our counsel for taking the appropriate time to draft the strongest motions in order to achieve victory. 


Also occurring at this time is that our Arkansas counsel is working to clarify the scope of the foreign default and the parameters of collection and exclusions, in the event that the New York appeal does not prevail or that the Arkansas court does not challenge the default under Rule 55, section 16.601 of the Arkansas Code. It is our understanding that a hearing will occur in Arkansas during the week of August. 9 - 13, although this hearing has not yet been formally scheduled. 


Separate news on F10 and S1 will be posted this weekend. The company is expecting some fresh eyes on that particular update, and we feel it's best presented as a free-standing post.

HHSE Welcomes Christian Large as Interim Director


Greetings HHSE Followers - as previously disclosed, HHSE has recruited several industry professionals to join the Company’s Board of Directors. Today, it is our honor to announce that business entrepreneur and entertainment producer CHRISTIAN LARGE has accepted appointment as an interim Director and Advisor to HHSE, effective immediately.

Chris is a resident of Tulsa and a member of the Cherokee Nation.  He was a graduate of Northeastern State University and was a referral nearly two years to join the WILDFIRE project as producer by the Cherokee Nation Film Office. Since that time, HHSE CEO has developed a great working relationship with Chris, as well as a deep trust and respect for his many abilities. 

Large has been active and successful in a variety of business ventures, and most recently has developed two very commercial feature film projects plus a package for a new television series. 

“I am so happy to have Chris join our board,” said HHSE CEO Eric Parkinson. “He has a great business sense and a rare talent for recognizing and developing opportunities. I feel he will be very helpful to the Company during our current filing period and our MyFlix launch, and a solid permanent addition in the near future.”

HHSE plans to announce another Board member within the next week.

Greetings HHSE Friends & Followers - we are awaiting attorney approval of verbiage on our press announcement today regarding S.E.C. filings and the F10 Registration. The posting of today's news is unlikely to occur before market close... but we are told that approvals will occur "by day's end" and that we can authorize Access Wire to publish thereafter. 

Meanwhile, we are in full sprint mode on our Cannes meetings (MyFlix & Meltdown), as well as the HANNOVER HOUSE and MYFLIX corporate videos - which we want to have completed prior to next Friday (to support our Cannes presence as well as to build shareholder enthusiasm and consumer awareness).
